UNObank Inc. GENERAL LOAN

TERMS AND CONDITIONS

        1. Loan Agreement. The Promissory Note, Disclosure Statement of Loan/ Credit Transaction, Amortization Schedule, this General Terms and Conditions, as well as all other agreements or documents executed between UNObank Inc. (“UNO”) and the Customer (“you”) shall collectively be referred to as the Loan Agreement.

          In addition to the Loan Agreement, these Terms and Conditions shall be the agreement between you and the Bank in connection with your application and availment of the Bank’s Loan Products.

        1. Loan Products:

            1. UNO shall make available to you various Loan Products including Standby Line of Credit, Quick Cash Loan (#UNOnow), and others made available by UNO from time to time subject to the terms and conditions embodied in the Loan Agreement.

            2. Should you opt-in for a Credit Shield on your approved and disbursed loan, you will be entitled to a credit life insurance. UNO may require the payment of charges and fees for such insurance. For more details, you may visit https://uno.bank/loans/creditshield.

            3. When you avail of a Standby Line of Credit, the following provisions shall apply:

              1. You agree that UNO will permit you to maintain one (1) active Standby Line of Credit at any given time. You may use the approved Line of Credit, subject to limitations in item v of this section, or as may be provided under the Loan Agreement; provided that the aggregate amount of availment does not exceed the approved limit at any time. UNO reserves the right to decline any availment that will exceed the approved Line of Credit, available credit limit, or the maximum allowed monthly installment, as the case may be.

              2. You agree that the use of your Line of Credit is subject to available Spend Limit which is equal to your Line of Credit less the unpaid balance of any availment in a given cut-off.

              3. You acknowledge that full or advance payment of any amortization will increase your spend limit. Any delay in payment shall cause the disallowance of use of your Line of Credit regardless of availability.

              4. Each of your availment or use of the Line of Credit is considered to be one loan transaction. You acknowledge that any availment made under this Agreement is subject to the payment of interest at a fixed monthly rate and other fees and charges stated in the Promissory Note/s, Disclosure Statement and Amortization Schedule for each loan availment.

              5. You agree that UNO may at any time and in its sole discretion increase, decrease, or suspend your existing Line of Credit. UNO may notify you of UNObank Inc. INTERNAL such adjustments through any legal means of communication that UNO may deem fit and necessary.

              6. You agree that any adjustments in the Line of Credit will not affect the validity of this Agreement or any and all agreements resulting from various availments or use of the Line of Credit.

              7. You may avail of any portion or all of the Line of Credit, as the case may be,

                under the terms and conditions imposed by UNO. To evidence indebtedness under each availment, you shall execute in favor of UNO Promissory Note/s, Disclosure Statement, Amortization Schedule and other documentary requirements UNO may require from time to time to give effect to the intent of this Agreement, together with all renewals, extensions, adjustments and modifications thereto.

              8. Other provisions in this agreement that do not specifically pertain to other loan products (Numbers 3 onwards), shall also apply to you.

            4. When you avail of a Quick Cash Loan (#UNOnow), the following provisions shall apply:

              1. Your drawdown and availment shall be one-time, and once loan proceeds have been disbursed, you can no longer take any unused approved amount.

              2.  You agree that UNO will permit you to maintain one (1) active #UNOnow at any given time.
              3. You may request for another loan upon complete settlement of your previous loan.
              4. Other provisions in this agreement that do not specifically pertain to other loan products (Numbers 3 onwards), shall also apply to you.

            5. When you avail of a Point-of-Sale (POS) Consumer Durable Loan (“#UNOeasy”), the following provisions shall apply:

              1. The loan tenor shall vary from six (6) to twenty-four (24) months. A loan tenor of twenty-four (24) months shall only be made available for items with a purchase price of more than ONE HUNDRED THOUSAND PESOS (Php 100,000.00).
              2. You agree that you have a previously approved #UNOeasy loan before proceeding to pay for the down payment of the goods to be purchased or service to be availed at participating merchant store/s.
              3. You agree that the Net Proceeds of approved #UNOeasy loan will be paid directly by UNO to the Merchant/Retailer as payment for the balance of the Purchase Price of the Goods or Services Availed.
              4. You expressly waive the benefit of Article 1252 of the Civil Code (Republic Act No. 386), and agree that any payment to UNO for the purpose of settling UNObank Inc. INTERNAL any Installment Amount or any other amount due in relation to the POS Loan shall be applied to the Installment Amount or such other amount that falls due earlier.
              5. If the Customer pays more than the Installment Amount or any other amount due on the #UNOeasy Loan, UNO will apply the excess payment to the next Installment Amount or any such other amount due.
              6. The Goods financed by the Loan Agreement is/are to be used for the benefit of the Customer or the Customer’s family and shall not be used for any illegal means.
              7. You consent to be offered other UNO products and services based on the information you have provided to UNO.
              8. You agree that the #UNOeasy Loan shall begin on the date of signing of the Loan Agreement and disbursement of the loan amount, regardless of the delivery date of the Goods. Receipt and delivery of the Goods shall be arranged between you and the Retailer.
              9. You acknowledge that you cannot purchase multiple consumer durable products in one transaction under #UNOeasy. Under #UNOeasy only one item is allowed per transaction per drawdown.
              10. You agree that UNO may at any time and in its sole discretion increase, decrease, or suspend your existing Line of Credit. UNO may notify you of such adjustments through any legal means of communication that UNO may deem fit and necessary.
              11. You agree that any adjustments in the Line of Credit will not affect the validity of this Agreement or any and all agreements resulting from various availments or use of the Line of Credit.
              12. Down payment. You agree to pay a twenty 20% downpayment or the amount as stated In the Promissory Note /Disclosure Statement of the Product price. This shall be paid to the merchant upon purchase of the product.
              13. Returns. You may request for a refund or replacement of an item, before your first monthly installment is due, by directly coordinating with the Merchant from which the product was purchased.


        1. Loan Purpose. You undertake that the proceeds of the loan you availed of shall be
          used exclusively for the purpose you indicated at the time of loan disbursement. In
          any event, you agree to be subject to any due diligence requirements of UNO, as
          may be applicable.

        2. Loan Disbursement. You consent that should you be made eligible for a loan, a savings account (#UNOready) will be automatically opened for you where proceeds of your loan will be credited. In case there will be disbursements made to select deposit accounts or virtual wallets, you acknowledge that you are the account owner of the deposit account or virtual wallet to which the Loan Amount is disbursed. In UNObank Inc. INTERNAL case there will be disbursements to third parties, you confirm that you authorize UNO to disburse the loan proceeds to identified third parties.

        3. Loan Acceptance. You acknowledge that the Loan Agreement has been duly provided to you for review and acceptance through the UNO Mobile Application (“UNO App”) which is proprietary to UNO. You acknowledge that the acceptance of the Loan Agreement through the UNO App constitutes an electronic signature under Republic Act No. 8792 or “The Electronic Commerce Act of 2000” and its Implementing Rules and Regulations, and its amendments.

        4. Interest Rate. You acknowledge the interest rate of the loan as the cost of borrowing. Such interest is part of the loan acceptance, as documented in the Promissory Note and Disclosure Statement.

        5. Processing Fee. You agree to a Processing Fee which is a one-time fee imposed to answer for the cost of processing your loan application that shall be deducted from the proceeds of your loan. and is documented in the Promissory Note and Disclosure Statement.

        6. Loan Rescission. You are granted a “cooling off” period of two (2) banking days immediately following the loan disbursement to cancel the loan without penalty, provided that the entire loan amount is returned/retained in the #UNOready to which the proceeds of the loan was disbursed. Any processing fee initially deducted shall be for your account and shall be paid to ensure that the entire loan amount is covered for the cancellation to take effect. Once the loan is canceled, you will not be allowed to perform any drawdown within the next thirty (30) calendar days.

        7. Due Date. You confirm that your payment due date shall follow the schedule set by UNO in the Amortization Schedule. The Amortization Schedule forms part of the Loan Agreement that will be provided to you for each loan transaction made, executed and approved. You agree to pay your monthly installment(s) on your assigned due date. Your due date shall be a fixed day of every month, unless it falls on a weekend or a holiday in which case your effective due date for that month shall be moved to the banking day immediately after said weekend or holiday.

        8. Amount Due. It is the amount that must be paid on the Due Date based on the Amortization Schedule provided to you. For the first payment due date, charging of the principal is deferred, in which case the Amount Due shall only be the interest accrued from the time the loan proceeds are disbursed until the first due date. You agree to pay this Initial Interest due to the longer period to repay the principal. In case of past due, the Amount Due may consist of all unpaid monthly installments, late payment fees and other applicable charges.

        9. Repayment. You agree to pay the monthly installment(s) in accordance with the Amortization Schedule provided upon loan approval. You consent that payment for your monthly installment dues shall be via a standing instruction and you authorize UNO to automatically deduct payments from your #UNOready opened for you. You commit to ensure sufficient funding of your #UNOready, on or before your assigned due date, to cover your monthly installment dues. You also consent that all future Standing Instruction and automatic debit shall not require prior authorization from you. You acknowledge that your installment(s)/loan amount shall remain due and outstanding until payment of the amount due has been made. You agree that UNO shall not be held liable for, and you bear the risk of any delay or failure in crediting payment as a result of the foregoing (i.e., late payment fee).

        10. Late Payment. You acknowledge that if payment is made beyond the stipulated due date, or if payment made is less than the amount due, you shall be charged with an applicable Late Payment Fee. This fee shall be charged to every monthly installment that will be unpaid as of due date. The Late Payment Fee shall be in accordance with the amount indicated in the Promissory Note and Disclosure Statement.

        11. Prepayment. You may prepay a portion of the outstanding balance of the Loan Amount at any time upon proper and timely advise to UNO. You shall contact UNO’s Customer Happiness Team via the Messages section of the UNO App for this purpose. UNO’s Customer Happiness Team shall process your request within seven (7) working days upon receipt of the request. You agree that your prepayment will be applied to the interest accrued by the loan as of payment date, then to the immediate monthly installment, then finally to the principal – whatever will be covered. You also accept that the prepayment may result into a re-computation or shortening of the loan tenor.

        12. Payoff. You may fully pay the remaining outstanding balance of the Loan Amount at any time upon proper and timely advise to UNO. You shall contact UNO’s Customer Happiness Team via the Messages section of the UNO App for this purpose. UNO’s Customer Happiness Team shall process your request within seven (7) working days upon receipt of the request. You further agree that UNO is not under any legal obligation to return the interest corresponding to the period from payoff date to the stipulated maturity date of the loan. Any payment made should not therefore affect the computation of the interest rate stipulated therein. Should your loan be already active for more than 30 days, payoff is subject to a Pre-termination Processing Fee as indicated in the Promissory Note and Disclosure Statement. You agree that such payoff terminates the entire loan obligation upon payment of the corresponding fee, as may be required and provided under the Disclosure Statement.

        13. Assignment and Transfer. Notwithstanding any other provisions of the Loan Agreement, you acknowledge and accept that UNO, with prior notice may at any time:

          1. assign or transfer its rights and obligations under the Promissory Note to any third-party; or

          2. create security in or over any and all of its rights and obligations under the Promissory Note to any person and/or entity of UNO’s choosing. You further accept that you are not permitted to assign or transfer any of your rights or obligations under the Loan Agreement.

        14. Representations, Warranties & Undertakings. You represent and warrant to UNO on a continuing basis that:

          1. The information you provided in your loan application and in the Loan Agreement are true, complete, correct, and accurate as of the date it was given. For this purpose, you authorize UNO to collect, use, process, disclose, share, exchange and store your personal information to facilitate the transaction contemplated by the Loan Agreement. Should there be any Personal Information of other individuals you provided, you represent and warrant that you are authorized to disclose on their behalf – to the processing of such Personal Information for the purpose of verification, collection of the loan obligation, or for other purposes for which you consent – and consent has been sought and obtained from them as to those stated in the Data Privacy Statement/ Policy of UNO;

          2. The loan transaction you entered into and the obligations you assumed in the Loan Agreement are legal, valid, binding, and enforceable;

          3. No event of default is existing or might reasonably be expected to result from execution of the Loan Agreement;

          4. You have and maintain necessary tools, gadgets and equipment such as but not limited to computer, laptop, tablet, mobile phone, internet connection, etc. to enable you to view and access the UNO App and the Loan Agreement and to perform an electronic signature on the Loan Agreement;

          5. You shall obtain and maintain in full force and effect any authorization, consent or approval required to enable you to perform your obligations under the Loan Agreement, and to ensure the legality, validity, enforceability or admissibility in evidence of said Loan Agreement;

          6. You shall immediately notify UNO in writing of any potential or actual Event of Default as defined in this Terms and Conditions, or any fact or circumstance that may affect your ability to comply with any of your obligations and/or undertakings under the Loan Agreement. You shall take steps to prevent or remedy such Event of Default or such fact or circumstance affecting your ability to comply; and

          7. You shall report any change in your personal information, including but not limited to your name, address, and contact details, within three (3) days from such change.

        15. Events of Default. Any and all of the following shall constitute default:

          1. Your failure to comply with or perform any of the terms and conditions of the Loan Agreement;

          2. Your failure to pay any amount due under the Loan Agreement when the same becomes due and payable;

          3. Any information given, or representation or warranty you made herein or otherwise in connection with the loan proves to be incorrect, false, or misleading as of the time it was made or deemed to have been made, whether or not UNO was in fact prejudiced by the same;

          4. If you cease to have a source of income, become insolvent, become unable to pay your debts when they become due, or commit or permit any act of bankruptcy or insolvency;

          5. Any final judgment or decree for a substantial sum of money is entered against you by a court of competent jurisdiction, and such sum of money is not paid, discharged or fully bonded within ten (10) calendar days after the date the same becomes due; and

          6. There shall have occurred a material change in your financial circumstances or condition reckoned from the approval of the Loan, which, in the reasonable opinion of UNO, would adversely affect your ability to perform the obligations under the Loan Agreement.

        16. Consequences of Default. In case of your default:

          1. UNO shall have the right, at its sole discretion, to consider any outstanding amount as immediately due and demandable, and require you to make full and immediate payment thereof;

          2. UNO shall have all the rights to the remedies provided in the Loan Agreement and by law, for purposes of enforcing its claims against you;

          3. UNO shall have the right and be entitled to debit from your bank/deposit account(s) to fully satisfy and settle your loan obligation. If you fail to pay the Total Outstanding Balance or any amounts due and payable under the Loan Agreement or as a result of your continuous default, the amount thereof shall be debited from the bank/deposit account(s) you have with UNO, without the necessity of a notice from UNO. It is agreed that this Loan Agreement shall serve as a written authority for UNO to debit, without notice or demand, such Outstanding Balance or any amounts due arising from the Loan Agreement from your bank/deposit account(s) for the purpose aforementioned. UNO shall not be held accountable for any liabilities, charges, costs, penalties, fees and expenses arising from or as a consequence of the debiting of the amount(s) in favor of UNO. Should the Total Outstanding Balance or any amounts due and UNObank Inc. INTERNAL payable under the Loan Agreement exceed the amount debited from your bank/deposit account(s), such excess shall immediately become due and payable and you shall be liable to pay the same, without further notice or demand. UNO’s right to debit from your bank/deposit account(s) shall continue until your loan obligation is fully settled.

          4. UNO shall be entitled to provide information on any payment default to third parties, including but not limited to collection agencies, for the purpose of collecting the loan. To the extent allowed under Philippine law, you waive any notice or formality meant to enable UNO to exercise its rights arising from the occurrence of an Event of Default. The failure or the delay to exercise any right, options, power or privilege hereunder shall not operate as a waiver of any right of UNO to exercise the same hereunder, unless said waiver is given in writing by UNO, and then only to the extent specifically set forth in said writing.

        17. Collection Costs. Upon your failure for any cause whatsoever to pay any of the payments when due (single or installment payment), you hereby acknowledge that the entire outstanding balance of the Loan Amount shall, without need of demand, immediately become due and demandable. In the event of default, you shall pay the costs of collection of the Promissory Note. In the event of default, UNO shall likewise be entitled to provide information to third parties, including but not limited to UNO’s duly accredited collection agencies and lawyers, for the purpose of collecting the defaulted loan.

        18. Governing Law and Venue. The Loan Agreement and/or the Loan transaction, and these Terms and Conditions, shall be governed by the laws of the Republic of the Philippines. All actions for the enforcement of the rights and obligations under the Loan Agreement shall be filed in the proper courts of Taguig City to the exclusion of all other courts.

        19. Indemnity. You shall indemnify UNO against any cost, loss, damage or liability incurred as a result of any Event of Default or any violation of the terms and conditions of the Loan Agreement; or any inquiry, investigation, litigation, or other legal process in connection with the loan transaction between UNO and you and/or the Loan Agreement.

        20. Disclosure of Information.

          1. You hereby expressly consent and permit UNO to transfer and disclose (i) to government authorities; (ii) to any party/person proposing or considering to tender any payment towards or purchase the indebtedness under the Loan; (iii) to its auditors, lawyers or any other debt collection agencies; (v) to credit reporting agencies; (vi) to insurance companies, agents, contractors or third party service providers who are involved in the provision of products and services to or by UNO and to the holding company (“Partners”), head office, UNObank Inc. INTERNAL other branches, subsidiaries, related companies of UNO; or (vii) for provision of or cross selling of products and services, any information relating to your affairs or account in respect of the Loan and the Loan Agreement or any Personal Information as defined in Republic Act No. 10173 or the Data Privacy Act of 2012 and its implementing rules and regulations, and at any time and to such extent as UNO may at its absolute discretion deem expedient or necessary. You also agree that the aforesaid information including your Personal Information may be used, processed, encrypted, transmitted and stored by UNO and its holding company, head office, other branches, subsidiaries, related companies and/or may be exchanged to or with all such persons as UNO considers necessary to the extent as permitted by Philippine laws. You expressly consent to such actions and declares that no further consent from you is necessary or required in relation thereto.

          2. In case you fail to pay fully or correctly or timely the loan obligation, in addition to debt recovery measures as specified herein/therein or in accordance with the Philippine laws, UNO shall be entitled to provide information on such failure to third parties, including but not limited to collection agencies and lawyers for the purpose of collecting the loan obligation.

          3. You agree that UNO, directly, or through its Partners or through third-party affiliates of its Partners, may collect, retrieve, process, use and store your personal data such as name, age, photographs, fingerprints, other biometric data (e.g., facial recognition, fingerprint recognition, voice recognition, etc.), mobile number/s, mobile phone usage data and other telecommunication usage data or telco score, employment details, income, financial data, financial profile, credit standing, loan payment history, and other information required for the purpose of reviewing and processing the your loan application (“Personal Data”). You consent to the collection of your Personal Data from you yourself, or from other personal information controllers such as, but not limited to, the Credit Information Corporation (CIC), special accessing entities and credit bureaus, telecommunications companies (e.g., Globe, PLDT, Smart, Sun Cellular), for credit scoring purposes. Your personal data, such as but not limited to, mobile number, credit score, telco score, email address, and address, may be shared to credit scoring service provider for credit investigation, credit scoring, data analytics, and data profiling, which includes the regular updating of your credit score. The Personal Data secured may also be used for direct marketing of products and services of Partners of UNO.

          4. You agree and give your full consent to UNO to write to your employer’s Human Resources, if applicable, in case UNO desires to reach you regarding your loan account.

          5. You agree that UNO may retain your Personal Data for a period of five (5) years from loan closure or such period necessary to fulfill the terms of the Loan Agreement, unless a longer period is required or allowed by relevant laws. You agree that UNO shall dispose of your Personal Data/information after the UNObank Inc. INTERNAL required retention period, in accordance with UNO’s policy on information asset disposal and relevant procedures as maybe required by applicable laws.

          6. Throughout the processing of your Personal Data, your rights under the Data Privacy Act of 2012, such as the (1) right to be informed, (2) right to object, (3) right to access, (4) right to rectification, (5) right to erasure or blocking, and (6) right to damages, shall be upheld. Entities to whom UNO share your Personal Data will also respect the same rights.

        21. Waiver. The delay or failure of UNO to exercise any of its rights under the Loan Agreement shall not be construed or deemed as a waiver of such rights.

        22. UNO may, at any time, update these General Terms and Conditions upon notice to you and such amendments shall bind you, provided that UNO posts the update on its website/mobile application and/or in app messages/email.
 
 
You acknowledge to have received the Loan Agreement prior to the consummation of the credit transaction. You further confirm that you have read, fully understand and fully agree to the terms, conditions provided herein.
